What it is
NT stands for notification of late filing (Form 12b-25). A company files an NT 10-K when its annual report won't be on time, and an NT 10-Q for a quarterly report.
The grace period
Filing it on time gives the company an extra 15 calendar days for a 10-K or 5 for a 10-Q, and it has to give a reason for the delay.
Why people watch them
Sometimes the reason is simple, like an acquisition that needs more accounting work. Sometimes it points to bigger problems, such as auditor issues or restatements. Repeated late filings can also lead to listing notices from the exchange.
